("DRT") from time to time in its sole discretion. If you do not agree with these Terms in their entirety, you may not use the Site.


The term "Site" as used herein encompasses and includes any webpage that contains an address which includes, even in part, the designation "Insureio" or "InsuranceDivision," which are owned and operated by Insureio Technologies, Inc. , and, where applicable, includes all Insureio affiliate or co-branded websites which are provided with the permission of Insureio Technologies, Inc . The term "Site" also means and includes all content and corresponding information relating to the Insureio health screening, quoting, and pre-application tool; the Consumer Life Quoter ("CLQ") website quoting tool; and the EZLink Insureio emailable health screening, quoting, and pre-application tool. You will be given the opportunity to accept or decline these terms and conditions of use at the bottom of this screen. By clicking on "I Accept," you acknowledge, accept, understand and agree to these Terms and Conditions of Use.


Changes in the terms and conditions of use may occur at any time, without further notice. Your use of this Website after such changes are implemented constitutes your acknowledgment and acceptance of the changes. Before each use, please read and consult these Terms and Conditions of Use carefully. The Site is provided by Insureio Technologies, Inc. ("DRT") . These Terms and Conditions apply exclusively to your access to, and use of, this Website and does not alter in any way the terms or conditions of any other agreement you may have with DRT.


Privacy Policy

DRT respects your privacy and permits you to control the treatment of your personal information. DRT has adopted a Privacy Policy, which is incorporated into this Agreement by reference. Please read the Privacy Policy by clicking here, before providing any information. You acknowledge that you have read and agree to the Privacy Policy.


Registration Data & Account Security

If you register for an account on the Site, you agree to (a) provide accurate, current and complete information as may be prompted by any registration forms on the Site ("Registration Data"); (b) maintain the security of your password; (c) maintain and promptly update the Registration Data, and any other information you provide to Insureio, and to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to the Registration Data and any other information you provide to Insureio. You are responsible for all activity on your Insureio account, and for all charges incurred by your Insureio account.


Free Trial

If you register on our Site for a free trial, we will make one or more Services available to you on a trial basis free of charge until the earlier of (a) the end of the free trial period for which you registered to use the applicable Service(s), or (b) the start date of any Purchased Service subscriptions ordered by you for such Service(s). Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding.




Please review the Help section, specifically the FAQ's, Tutorials, and Help sub-sections during the trial period so that you become familiar with the features and functions of the Services before purchasinge a subscription level.


Fees, Charges, & Taxes

Fees and any other charges for the use of the Site are described on the Site. They may change from time to time. If we change them, we will give you at least 30 days' notice. If they do change, your continued use of the Site after the change indicates your agreement with the new fees and charges after the effective date of the change. Any change to fees and other charges will not be applicable to the billing period in which the change occurs.


You are responsible for all taxes applicable to the fees in any applicable jurisdiction.


Billing & Renewal

Insureio charges and collects in advance for the use of the Site. Insureio will automatically renew and bill Subscribers on the Subscriber's established payment terms (monthly credit card renewal, annual credit card renewal, or annual invoice renewal).


If you believe that the billing or invoice is incorrect, you must contact us within 60 days of the billing period start date to be eligible to receive an adjustment or credit.


Delinquent Accounts

Your account is considered delinquent (in arrears) if full payment is not received by the billing period start date. If your account is delinquent for at least two months, we may deactivate your account. Deactivated accounts are not deleted - they are placed in storage and can be restored. We will notify you by email or phone if we decide to deactivate your account. If you know in advance that your account will be inactive at for some time and don't want us to deactivate it, let us know in advance at the support email address on the Site. If after your account has been deactivated it stays delinquent and we don't hear from you, we may terminate it at any time and without notice.


Termination of Agreement

You and Insureio may terminate these Terms and your use of the Site at any time. If you terminate your use of the Site, you must pay the fees applicable for the balance of the then current billing period (if your billing period is monthly, we will prorate your account to the nearest month-end after termination). When your Insureio account is terminated, your User Content will shortly thereafter, not appear on the Site, except for User Content submitted to our forum or comments on our blog, which may remain on the Site after termination. We may also retain an archival copy of your User Content after termination, and you hereby grant us a non-exclusive, perpetual, irrevocable license to maintain such archival copy for our internal business purposes.


If these Terms expire or terminate for any reason, any representation or warranty you make in these Terms, shall survive indefinitely, or as permitted by law.


Consent To Be Contacted

You and each of your respective clients understand that by submitting your client's personal information, you are making a consumer inquiry for insurance offered by licensed insurance agents that have contracted with DRT . You and your client also understand that by doing so, you consent and expect to be contacted by any and all such licensed insurance agents via telephone, text messaging, email or direct mail even if you or your client are registered on the federal do-not-call list and/or any applicable state do-not-call list. You or your client may withdraw consent by notifying DRT at [].


You further acknowledge that you are duly licensed to solicit and sell life insurance products and that you have the express consent of each individual client on whose behalf you seek or obtain any assistance or use from Insureio to input and provide any identifying information of each such individual client, including name, address, telephone, date of birth, social security number, driver's license number, etc. Each of your individual clients has expressly authorized you to gather identifying information of each said client and has authorized you to disclose any and all such information to the extent reasonably necessary to procure life insurance quotes, sell life insurance to and otherwise complete the sale and delivery of life insurance policies with respect to each individual client.


Representations and Warranties

You represent and warrant to DRT that any and all information submitted by you on behalf of your client to this Website is true and accurate. You further warrant that you are a licensed insurance agent and are duly licensed to submit requests for insurance quotes.


Restrictions On Use

You may use this Website for purposes expressly permitted by this Website. You may not use this Website for any other purpose, including any commercial purpose, without express prior written consent of DRT . For example, you may not (and may not authorize any other party) to link to this Website, without the express prior written permission of an authorized representative of DRT nor may you display a name, logo or trademark appearing on this Website. You agree to cooperate with DRT in causing and ensuring that any unauthorized co-branding, framing or hyper-linking cease immediately.


Proprietary Information

The content on this Website is the proprietary information of DRT and DRT retains all ownership, right, title, and interest in and to it. Accordingly, the content may not be copied, distributed, republished, uploaded, posted, or transmitted in any way without the prior written consent of DRT , except that you may print out a copy of the content solely for your personal use. In doing so, you may not remove or alter, or cause to be removed or altered, any copyright, trademark, trade name, service mark, or any other proprietary notice or legend appearing on any of such content. Modification or use of the content except as expressly provided in these Terms and Conditions of Use violates the intellectual property rights of DRT and is a violation of these Terms and Conditions of Use. Neither title nor intellectual property rights are transferred to you by access to this Website. DRT retains full and complete title to the Site as well as all intellectual property rights therein. You may not sell, redistribute, or reproduce the Software, nor may you decompile, reverse-engineer, disassemble, or otherwise convert the Software to a human-perceivable form. DRT owns and, including the Insureio health screening, quoting, and pre-application tool, as well as the Consumer Life Quoter ("CLQ") website quoting tool and the Insureio emailable health screening, quoting, and pre-application tool.


Compliance with Intellectual Property Laws

When accessing the Site or using the Service, you agree to obey the law and to respect the intellectual property rights of others. Your use of the Service and the Site is at all times governed by and subject to laws regarding copyright ownership and use of intellectual property. You agree not to upload, download, display, perform, transmit, or otherwise distribute any information or content (collectively, "Content") in violation of any third party's copyrights, trademarks, or other intellectual property or proprietary rights. You agree to abide by laws regarding copyright ownership and use of intellectual property, and you shall be solely responsible for any violations of any relevant laws and for any infringements of third party rights caused by any Content you provide or transmit, or that is provided or transmitted using your User name or ID. The burden of proving that any Content does not violate any laws or third party rights rests solely with you.


Your Use of Other Persons' Information

In order to facilitate the services provided by the Site, the Site allows you in certain circumstances to give other Users limited access to the personal information of other persons. For example, if you are a Subscriber, you may use the Site to give access to a staff member to the personal information of your Customers. By entering into our Terms, you agree that, with respect to the personal information of other persons that you collect, use and disclose on the Site, you have all necessary consents and rights to collect, use and disclose that information as described in this Privacy Policy from time to time, and you agree that the indemnity you give to us in the Terms applies to any non-compliance by you with the foregoing.


Your Limited License of Your User Content to Insureio

We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the Site, and provide the services provided by the Site, now and in the future. For example, if you leave comments on the Insureio blog or posts on the Insureio forum, we need your license to display that User Content on the Site, and we need the right to sublicense that User Content to our other Users so that they can view that User Content. If you are a Subscriber and enter activity data in relation to a Customer and configure your account to display activity data to your Customers, we need your license to that User Content to use it in the operation of the Site, and we need the right to sublicense that User Content to your Customers for that purpose.


Therefore, by posting or distributing User Content to or through the Site, you (a) grant Insureio and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to use, display, perform, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such User Content on the Site, in the manner in and for the purposes for which the Site from time to time uses such User Content; (b) represent and warrant that (i) you own and control all of the rights to the User Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute that User Content, to or through the Site; and (ii) the use and posting or other transmission of such User Content does not violate these Terms and will not violate any rights of or cause injury to any person or entity.


If your User Content is intended for the use of other Users, you also grant us and our affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to sublicense such User Content to such Users for their use in connection with their use of the Site, as described in Section 5 of these Terms. These licenses from you are non-exclusive because you have the right to use your User Content elsewhere. They are royalty-free because we are not required to pay you for the use of your User Content on the Site. And they are transferable because we need the right to transfer these licenses to any successor operator of the Site. Our rights to "modify, adapt, translate, and create derivative works from" are necessary because the normal operation of the Site does this to your User Content when it processes it for use in the Site.


Use of Interactive Areas and the Site

The Site may contain discussion forums, bulletin boards, review services or other forums in which you or third parties may post reviews or other content, messages, materials or other items on the Site ("Interactive Areas"). If Insureio provides such Interactive Areas, you are solely responsible for your use of such Interactive Areas and use them at your own risk. User Content submitted to any public area of the Site will be considered non-confidential. By using any Interactive Areas, you expressly agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Site any of the following:


Any message, data, information, text, music, sound, photos, graphics, code or other material that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;

Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;

Content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;

Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;

Unsolicited promotions, political campaigning, advertising or solicitations;

Private information of any third party, including, without limitation, addresses, phone numbers, email addresses and credit card numbers, unless that third party has expressly consented to such use, or such information is publicly available;

Viruses, corrupted data or other harmful, disruptive or destructive files;

Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted;


Content that, in the sole judgment of Insureio, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Site, or which may expose Insureio or its affiliates or its users to any harm or liability of any type.




Finally, Insureio has a "zero-tolerance" policy towards SPAM: you may not use the Interactive Areas or the Site generally to send commercial or other messages to any third-party if those messages are not solicited, authorized or welcomed by the third-party, and in your use of the Site you must comply with all applicable laws, including laws that apply in any jurisdiction to SPAM and marketing practices, and with any applicable marketing association guidelines on ethical marketing practices.


Any use of the Interactive Areas or other portions of the Site in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site.


Inappropriate Content

You shall not make the following types of Content available. You agree not to upload, download, display, perform, transmit, or otherwise distribute any Content that (a) is libelous, defamatory, obscene, pornographic, abusive, or threatening; (b) advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; or (c) advertises or otherwise solicits funds or is a solicitation for goods or services. DRT reserves the right to terminate your receipt, transmission, or other distribution of any such material using the Service, and, if applicable, to delete any such material from its servers. DRT intends to cooperate fully with any law enforcement officials or agencies in the investigation of any violation of these Terms of Use or of any applicable laws.


Copyright Infringement

DRT has in place certain legally mandated procedures regarding allegations of copyright infringement occurring on the Site or with the Service. DRT has adopted a policy that provides for the immediate suspension and/or termination of any Site or Service user who is found to have infringed on the rights of DRT or of a third party, or otherwise violated any intellectual property laws or regulations. DRT 's policy is to investigate any allegations of copyright infringement brought to its attention. If you have evidence, know, or have a good faith belief that your rights or the rights of a third party have been violated and you want DRT to delete, edit, or disable the material in question, you must provide DRT with all of the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (c) identification of the material that is claimed to be infringed or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit DRT to locate the material; (d) information reasonably sufficient to permit DRT to contact you, such as an address, telephone number, and if available, an electronic mail address at which you may be contacted; (e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Alleged Violations

DRT reserves the right to terminate your use of the Service and/or the Site. To ensure that DRT provides a high quality experience for you and for other users of the Site and the Service, you agree that DRT or its representatives may access your account and records on a case-by-case basis to investigate complaints or allegations of abuse, infringement of third party rights, or other unauthorized uses of the Site or the Service. DRT does not intend to disclose the existence or occurrence of such an investigation unless required by law, but DRT reserves the right to terminate your account or your access to the Site immediately, with or without notice to you, and without liability to you, if DRT believes that you have violated any of the Terms of Use, furnished DRT with false or misleading information, or interfered with use of the Site or the Service by others.


Advertisements & Promotions

Insureio may run advertisements and promotions from third parties on the Site. Your business dealings or correspondence with, or participation in promotions of, advertisers other than Insureio, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. Insureio is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of third-party advertisers on the Site.

DRT has no control over, and no liability for, any third party websites or materials. DRT works with a number of partners and affiliates whose Internet sites may be linked with the Site. Because neither DRT nor the Site has control over the content and performance of these partner and affiliate sites, DRT makes no guarantees about the accuracy, currency, content, or quality of the information provided by such sites, and DRT assumes no responsibility for unintended, objectionable, inaccurate, misleading, or unlawful content that may reside on those sites. We strive to adhere to the highest standards of data security. Any and all data found within our systems or sent via our email servers is encrypted, adhering to HIPAA requirements as published. Although not a "covered entity" under HIPAA, we do subscribe to and maintain HIPAA standards and guidelines for your security. In addition, all our workstations and servers are encrypted both at rest and in transit, as described in more detail below.


This site uses restrictive firewalls to protect stored data, which includes any personally identifiable information you have submitted on this site and uses 128 bit SSL (Secure Sockets Layer) certificates to encrypt data transferred between you and the Site. It is suggested that you use a browser that supports SSL and that the encryption feature of your browser is not disabled when you submit information online.


We make every effort to help our clients and our partners' clients complete the life insurance application process using secure electronic means, including the e-signature process. The e-signature process transmits data, including your clients' electronic signatures, through third-party vendors including Docusign, iGo, or Marketech, all of which are HIPAA-compliant e-application and e-signature processes.


If a client is unable to use the e-signature process, they may request that an application be emailed to them. We send all emails securely using TLS encryption. We do this using MicrosoftOffice365, which also adheres to and meets the specifications of:


Health Insurance Health Insurance Portability and Accountability Act (HIPAA): HIPAA imposes security, privacy, and reporting requirements regarding the processing of electronic protected health information. Microsoft developed Office 365 to provide physical, administrative, and technical safeguards to help users comply with HIPAA.

Data Processing Agreements (DPAs): We provide customers with additional contractual assurances through DPAs regarding Microsoft handling and safeguarding of customer data. By signing DPAs, we commit to over 40 specific security commitments collected from regulations worldwide.

Federal Information Security Management Act (FISMA) requires U.S. federal agencies to develop, document, and implement controls to secure their information and information systems. Federal Risk and Authorization Program (FedRAMP) is a federal risk management program that provides a standardized approach for assessing and monitoring the security of cloud products and services. The FedRAMP/FISMA FAQ describes how the Office 365 service follows security and privacy processes relating to FedRAMP/FISMA.

ISO 27001: ISO 27001 is one of the best security benchmarks available in the world. Office 365 has been verified to meet the rigorous set of physical, logical, process and management controls defined by ISO 27001:2013. This also includes ISO 27018 Privacy controls in the most recent audit. Inclusion of these new ISO 27018 controls in the ISO assessment will further help Office 365 validate to customers the level of protection Office 365 provides to protect the privacy of customer data.

Statement on Standards for Attestation Engagements No. 16 (SSAE 16): Office 365 has been audited by independent third parties and can provide SSAE16 SOC 1 Type I and Type II and SOC 2 Type II reports on how the service implements controls.

Gramm-Leach-Bliley Act (GLBA): The Gramm-Leach-Bliley Act requires financial institutions to put processes in place to protect their clients' nonpublic personal information. GLBA enforces policies to protect information from foreseeable threats in security and data integrity. Customers subject to GLBA can use Office 365 and comply with GLBA requirements.



In addition, all consumer data held in our databases is secured by the following:


Encrypted connection between client and application server

Encrypted connection between application server and database sever

Encrypted connection between application server and Amazon Web Services cloud storage (S3) server

Encrypted data at rest on Amazon Web Services cloud storage (S3) server

Encrypted data at rest for the entire file-system for the entire database



This last measure is well beyond the requirements of HIPAA or any similar legal authority; however, we feel it is the only prudent measure to take in protecting the data of our clients and partners.


Please do be aware that we are not responsible for the security of the content in our emails, including attachments, once they reach the email service provider of a recipient (partner, affiliate, or client). The information below explains why that data may not be secure and why we strongly recommend all clients use the secure, compliant e-signature process.


When an email is transmitted from our specialist's computer, it passes through our email server and is routed through multiple servers until it reaches your email server. TLS encryption is negotiated each time the email passes from one server to another.
